Rail America to bid for V/Line Freight & Pass

Rail America Australia P.T.Y. Ltd. (AUST)will be bidding for both V\Line Pass
& Freight companies. Rail America operates about a dozen US Railways and also
a railway in Chile. Rail America also owns a 11.5 % stake in GSR. This is

RailAmerica Australia P.T.Y. Ltd. is a member of the Great Southern Railway
Limited (GSR) consortium, which operates the 4,000-mile, transcontinental
passenger rail concession of the Australian National Railway Commission (AN).
The GSR consortium is comprised of some of the leading rail operators,
financiers and service providers in Australia and internationally, including
RailAmerica, GB Railways, Serco Asia Pacific and Macquarie Bank, Ltd.

The passenger rail service operates three premier interstate lines -- the
prestigious Indian Pacific, which runs a 2,700 mile transcontinental service
between Sydney and Perth, The Ghan, which operates 1,000 miles between
Adelaide and Alice Springs, and The Overland, which runs overnight service
between Melbourne and Adelaide. In 1996, these passenger rail lines carried
244,000 passengers and generated US$33.3 million in revenue. The service
currently owns 186 luxury passenger coaches, passenger terminals at
Keswick/Adelaide and Alice Springs, and a maintenance facility near Keswick.

Internationally, Mr. Graham Claytor,(I shared a compartment with this
interesting gentleman on the recent Kulwin trip) who previously headed our
rail group, assumed responsibility for RailAmerica's newly-formed
International Rail Group. In his new post, Graham will focus on expanding the
Company's international rail holdings while continuing to build our existing
international operations.
